Key Responsibilities:

• Advise general and limited partners on fund formation, structuring, and investment documentation.

• Draft and negotiate offering documents and investor agreements for private equity, hedge, and hybrid funds.

• Provide counsel on regulatory compliance and fund governance matters.

• Manage day-to-day client relationships and operational queries.

• Participate in due diligence and investment structuring.

• Collaborate across practice areas including tax, corporate, and securities.

• Mentor junior associates and contribute to firm training and thought leadership.

• Stay current on SEC, CFTC, and global regulatory developments.

Qualifications:

• 5–8 years of experience in asset management and investment funds law.

• Experience representing both sponsors and investors in fund matters.

• Deep knowledge of the Investment Advisers Act, ’40 Act, and relevant SEC rules.

• Juris Doctor (J.D.) from an accredited U.S. law school.

• Admission to the New York State Bar or ability to waive in.

• Outstanding analytical, drafting, and communication skills.

• Strong client-service orientation and multitasking ability in a fast-paced practice.
