Finance Associate Attorney – Cross-Border Deal Work | New York, NY

An Am Law 200 firm with global reach is seeking a Finance Associate Attorney to join its New York office. Key Responsibilities:

• Draft and negotiate debt term sheets, Credit Agreements, and supporting schedules.

• Prepare collateral documentation including Perfection Certificates and Collateral Agreements.

• Handle lien searches, payoff documentation, and possessory collateral processes.

• Draft legal opinions, secretary’s certificates, and officer’s certificates.

• Coordinate KYC processes and beneficial ownership verifications.

• Draft organizational documents and consents for financing transactions.

• Work with international counsel on foreign security interests and due diligence.

Qualifications:

• At least 1 year of experience in M&A, banking, or finance law.

• Prior exposure to public/private debt financing and acquisition financing.

• Experience drafting consents, collateral documents, and organizational filings.

• JD, LLM, or equivalent degree required.

• Admitted to practice law in the State of New York.

• Strong negotiation, drafting, and deal management skills.

• Effective communication and time management, especially in fast-paced deal environments.
